| You want to start or take part in an association in Spain. How to start one, and how to run it when it has been started? In the Spanish Constitution, the right of citizens to form associations is recognised in article 21. Also, in article 13 it is stated that the "foreigners benefit in Spain from the same public freedoms that this chapter grants, within the terms of law and agreements (between Spain and other countries)." This means in plain language: The foreigners have the right to start and run associations in Spain. However, there are certain restrictions on immigrants holding only a temporary work and residence permit. This does not apply to citizens of EU or EES. The difference between Associations and Communities We deal in this Short-Information only with normal associations (clubs, Vereine, foreninger) and recommend everyone not to mix this concept with the Community of Owners (Comunidad de Propietarios), that is based on the Law on Horizontal Property (see Short-Information on Communities of Owners). Even if the municipality has included you in an "entidad urbanistica" to make or maintain infrastructure, and they call this entity an "asociación urbanistica", do not let this confuse you. There are also other kinds of associations with special legislation. For instance, comercial associations. But also political associations, the political parties, are based on a special law. How to start an association The national Law on Associations was changed on 22nd of March 2002. But also the regions are now elaborating their own laws on associations, developing and clarifying national law. For instance, Cataluña has recently implemented a very comprehensive and modern law on associations with number 7/1997. You need only 3 foreign residents or Spanish citizens to sign the documents. You do not need a lawyer or a notary to formulate or sign the documents required, the only requirement is that they must be in Spanish (or the other official language eventually existing in your region, if you are a local association). The documents to be signed are a set of statutes (normally 3 copies) and the minutes from the meeting where it was decided to form the association (also normally 3 copies). The documents should be accompanied by a letter from the secretary (an "instancia" - see model below), including copies of the resident permits or NIE of the founders. In the last chapter of this Short-Information we have proposals for statutes, minutes and accompanying letter, in Spanish, with translation of the two last to English. The letters sent to the registration office must only be the Spanish versions. For local associations the documents must be sent to the office for associations in the regional government. For associations with activity in areas outside your region, the registration must be arranged with the Ministry of Interior in Madrid. You will get the documents back, stamped by the registration office. Then we also advise you to notify your local town hall of the existence of the association, in a letter (see model in the last chapter). They will then add you to their list of local associations. The statutes You must decide on the name of the association, and try to avoid selecting one that is already in use by someone else. Very important is formulating the aims, these should be general and wide, so you do not have to add to them later. Then you must define the area of action (the municipality, province, region or national territory). Be aware that a local or provincial registry cannot register an association with a national area of action. Also, an address must be given. This can be the private house of the president or the secretary. Minute book and fiscal number The two other initial requirements to comply with are: 1) You must have a minute book (Libro de Actas) that can be bought in any well equipped bookstore, where all pages are numbered. This book must be stamped and signed by the local property register (in some areas you may have other institutions doing this, ask in the local town hall). In the minute book you paste in the "acta de constitución", the statutes and any other records. 2) You must get a fiscal number for the association, to be able to open a bank account in its name. Such a fiscal number you get from the nearest Hacienda office, and in some areas from the National Police stations. "Sin animo de lucro" Being given a fiscal number does not mean that you have the right to make business in the name of the association. An association is by definition "sin animo de lucro" and cannot have any other commercial activities than those connected with their aims and members. You can publish and distribute a magazine for your members, even with ads in it. But you cannot publish a magazine directed to the general public, for instance over the newspaper stands. You can make a raffle at your meetings, but you cannot sell raffle tickets to non-members or the persons not attending your meetings. Obligations of associations You do not have any other obligations than those mentioned in your statutes, mainly to call an ordinary meeting every year to deal with budget, accounting and elections. The accounting need not be audited, neither by elected members or a professional person/company, unless this is decided by the members at a general meeting. But each time you change your statutes, you must send them to the registry of associations. In the new national law are some very strict and impracticable stipulations on the number of members that must attend a general meeting for the meeting to be legal. But the law accept other rules, if you have them written into your statutes. Every association should look carefully into this aspect. ................................................................. CAPITULO II ORGANIZACION Y ADMINISTRACION Art. 5.- La Asociación estará constituída por los órganos siguientes: a) Asamblea General

El procedimiento habitual sera la votación ordinaria. La votación nominal o secreta procedera cuando lo acuerde la mayoría de los asistentes en votación ordinaria. Art. 10.- Presidirá la Asamblea el Presidente de la Asociación, y en su caso el Vicepresidente, y a falta de este el vocal de más edad, ejerciendo de Secretario el de la Asociación, sustituido en su caso por el vocal de menos edad. El Secretario levantara acta de todas las reuniones que se celebren, que firmara conjuntamente con el Presidente y dos de los socios presentes. Art. 11.- La Asamblea General, aparte de sus actividades normales de deliberación y decisión sobre las directrices de la Asociación, tendrá las siguientes atribuciones: 1.- Decidir sobre las altas y bajas de los asociados.
2.- Modificar los Estatutos, para lo que sera necesario mayoria de dos tercios de los asistentes.

Art. 12.- La Junta Directiva es el órgano ejecutivo de la Asociación y ejercera la representación y administración de la misma, rindiendo cuentas a la Asamblea General. Los miembros de la Junta Directiva serán elegidos en la Asamblea General. La duración de los cargos sera de un año. La Junta Directiva tendra las siguientes atribuciones: a).- La representación legal de la Asociación.
b).- Cuidar del cumplimiento de los presentes Estatutos y de las normas
legales en vigor.
c).- Organizar y dirigir los servicios de la Asociación, contratando el personal necesario.
d).- Decidir dentro de sus atribuciones sobre las quejas, reclamaciones, sugerencias o propuestas formuladas por o contra los socios.
e).- En general las actividades propias para el mejor servicio de los fines definidos en estos Estatutos. Art. 13.- El Presidente ostentara la representación de la Asociación. Cualquier acto externo de la Asociación precisara de su refrendo. Al Presidente le corresponde además convocar y presidir la Junta Directiva, representar la Asociación ante toda clase de autoridades o tribunales, suscribir las actas de las sesiones de la Junta Directiva y Asamblea General. El Presidente tendrá voto de calidad que decidirá los empates en la Junta Directiva o Asamblea General. Art. 14.- Al Secretario le correspondera la custodia de los libros, documentos y sellos de la Asociación, excepto los libros de contabilidad; llevar al día el registro de socios, anotando en él las altas, bajas y suspensiones; redactar las actas de las sesiones, las que firmará con el Presidente; librar certificaciones referentes a los libros y documentos de la Asociación; y llevar la correspondencia de la Asociación. Art. 15.- Corresponde al Tesorero custodiar los fondos de la Asociación; efectuar los pagos y anotarlos; firmar los documentos de tesorería que deberán ser visados por el Presidente; gestionar el cobro de las cuotas de los socios; y preparar el presupuesto y cuentas anuales. Art. 16.- Corresponde a los vocales tomar parte en las deliberaciones de la Junta Directiva y llevar a cabo las tareas que les sean encomendadas por la Junta Directiva ó el Presidente. CAPITULO III DE LOS SOCIOS Art. 17.- Cualquier persona adulta con una vivienda en el ámbito territorial de la Asociación se puede hacer socio de la misma rellenando un formulario de solicitud de adhesión y aceptando los Estatutos. El alta será definitiva cuando sea aceptada por la Asamblea General. Durante el periodo provisional el socio tendrá todas las obligaciones y derechos. Art. 18.- Es obligación de los socios tomar parte activa en la promoción de los fines de la Asociación y pagar puntualmente sus cuotas. No están autorizados a tomar acciones individuales en nombre de la Asociación. Art. 19.- Los socios tienen derecho a participar en cualquiera de las actividades de la Asociación; tener voz y voto en la Asamblea General; Presentarse como candidatos para la Junta Directiva o cualquier otro cargo; hacer propuestas y sugerencias y recibir información; y examinar los libros de la Asociación. Art. 20.- Son causas de pérdida de la condición de socio: 1.- Pérdida de la vecindad, salvo que la Junta Directiva acuerde prorrogarla en atención a los méritos contraidos con la Asociación.
2.- Renunciar voluntariamente comunicandolo por escrito a la Junta Directiva.
3.- Falta de pago de la cuota.
4.- Por acuerdo de la Asamblea General a propuesta de la Junta Directiva, cuando el socio tenga una conducta manifiestamente incompatible con los fines de la Asociación o las decisiones adoptadas por la Asamblea General. La Junta Directiva podrá acordar la suspensión provisional de los derechos sociales de un socio hasta que en la siguiente Asamblea General se resuelva este asunto.
CAPITULO IV REGIMEN ECONOMICO Art. 21.- El patrimonio fundacional de la Asociación es de .......................... Euro. Art. 22.- El límite del presupuesto anual será establecido por la Asamblea General en relación al número de socios. Inicialmente se fija en 6.000 Euro. Art. 23.- Los recursos economicos de la Asociación serán: 1.- Las cuotas ordinarias de los socios, en la cuantia fijada por la Asamblea General con ocasión de la aprobación del presupuesto.
2.- Los donativos que pueda recibir la Asociación.
3.- Préstamos y subvenciones que obtenga.
4.- Las aportaciones extraordinarias de los socios, que la Asamblea General en casos excepcionales y para fines específicos acuerde por mayoría. Art. 24.- La administración de los fondos sociales con arreglo al presupuesto corresponde a la Junta Directiva y su custodia al Tesorero. El ejercicio economico coincidira con el año natural.
CAPITULO V DISOLUCION O TRANSFORMACION DE LA ASOCIACION Art. 25.- En caso de disolución de la Asociación, actuara una Comisión Liquidadora designada a tal efecto por la Asamblea General que procederá a la enajenación de los bienes sociales, extingiendo las cargas que pesaren sobre la Asociación, y entregando el sobrante, si lo hubiere, a instituciones benéfico-sociales. DISPOSICION FINAL La Junta Directiva queda facultada para interpretar los presentes Estatutos, así como para resolver cualquier cuestión no prevista en ellos, sometiendolo para su aprobación a la primera Asamblea General que se celebre con posterioridad. NEW LAW ON ASSOCIATIONS - take note Recently a new law on associations has been introduced. It was high time, since the previous law dates from 1964, the time of the Generalissimo. The ministerial bureaucrats have thus had plenty of time to consider how to make a good law - and they have missed it. A good law would have been a short law, just drawing up the main principles and leaving the interior organisation to the people constituting and running the associations. But no, we have instead got a law where the lawmakers want to decide on details, and in such a way to make sure that very few will want to take the trouble to form an association. Let us give some examples: In article 12 (on internal organisation) it is first said that if the statutes of the association do not decide otherwise, the internal organisation will be the following: " that the General Assembly is validly constituted, after it has been called with 15 days warning, when one third of the members is present or represented…" I was recently on a General Meeting of an active club with 1000 members. 100 of them took part in the meeting. This situation is a normal situation in most associations today. According to the new law, the meeting would have been illegal, if that association had in their statutes that the general assembly was legally convened when 100 of the members were present or represented. In article 11.3 is said that a General Assembly must be meeting at least once a year. A club not having details on internal organisations in their statutes, and not being able to gather one third of the members on the annual general assembly, would subsequently be in breach of article 11.3. In article 38 is then explained what can happen to an association that does not comply with the new law: It may be dissolved by a court order……..
Responsibilities of the leaders In article 15.3 and 15.4 is said among other things that the members of the board or any other person acting in the name and in representation of the association……responds civil and administratively for all acts or omissions made….and for decisions voted by them, in relation to third parties, the association and the associates. That article could be applied by a militant minority in an association, disagreeing with a decision on a General Assembly where a majority of 90% on the meeting decides to buy premises for the association and gives a power of attorney to the Chairman to sign the purchasing contract, on a meeting where less than 1/3 of the registered members took part (supposing there are no detailed internal rules in the statutes). One of the minority voting against the decision, maybe because he wanted the club to buy his premises, and takes the matter to court, arguing that the meeting and subsequently the decision was illegal, and sue the Chairman for the money he has paid out for the purchase…….. This certainly does not make it easy to get leaders of associations! Registration and changes in statutes An association must be inscribed in a special registry, with the act of constitution and the statutes elaborated (article 10). Article 7 tells us in a list with 11 points what must be included in the statutes. In article 10.4 is stated that the initiators of the association respond personally and jointly in relation to third persons for any obligations entered into before the inscription in the registry. Article 16 demands that any changes in the statutes of an association, modifying any of the 11 points mentioned in article 7, will have to be inscribed in the registry within one month and will only take effect once inscribed. In a first transitional clause it is stipulated that the associations inscribed already before the new law took effect, must change their statutes in accordance with the new law, within 2 years. We recommend all associations to check if their statutes hold water against the new law. If not, make sure to get the statutes changed in a general assembly. |
